NATIONAL SEMICONDUCTOR ACQUIRES CERTAIN ASSETS OF PICOPOWER PRODUCT GROUP FROM CIRRUS LOGIC

July 22, 1996- National Semiconductor Corporation (NSM-NYSE) today announced that it has signed a definitive agreement for the purchase of certain assets of the PicoPower product group of Cirrus Logic, Inc. (CRUS-NASDAQ). The transfer of certain assets will commence immediately with a final close and transfer of assets scheduled to occur in August.

The terms of the agreement were not disclosed. Upon completion of this acquisition, National expects to incur a one-time charge to expense for in-process research and development of approximately $10 million or .05¢ per share.

National Semiconductor Corporation provides technologies for moving and shaping information. The company focuses on four strategic markets: communications, personal systems, industrial, and consumer. National Semiconductor is headquartered in Santa Clara, California, and has 20,000 employees worldwide. In fiscal 1996, the company reported sales of $2.6 billion.
