NATIONAL SEMICONDUCTOR TO SELL DYNA-CRAFT
INCORPORATED
Carsem Enterprises to Buy National's Subsidiary Business
SANTA CLARA, CA and Kuala Lumpur, Malaysia, November 9, 1995 --National
Semiconductor signed an agreement today to sell its subsidiary lead frame business, Dyna-
Craft Inc. (DCI) to Malaysia Pacific Industries' (MPI) semiconductor division, Carsem
Enterprises. The agreement includes the company's 1550 employees, all buildings, land
and capital equipment of DCI's sites in Santa Clara, California; Murrysville, Pennsylvania;
and Penang, Malaysia. Subject to governmental approvals, the transfer is expected to be
completed by the end of March 1996. Currently, Dyna-Craft represents three percent of
National's total trade sales and National expects no material financial impact from this
transaction.
"The sale of DCI continues our previously-announced strategy to focus resources on our
core analog and mixed signal technologies," explained Dr. Gilbert Amelio, Chairman,
CEO and President of National Semiconductor. "These include semiconductor-intensive
moving and shaping products that make it easier for people to use electronic
equipment."
"We are confident that MPI will become a key partner and supplier of lead frames to
National and the rest of the semiconductor industry," said Dr. Amelio.
"Lead frames remain an important element of the total semiconductor manufacturing
process, allowing manufacturers to deliver integrated circuits in smaller and more compact
packaging. MPI has the expertise required to maintain operations and grow the leadframe
business," explained David Comley, managing director of MPI's semiconductor division.
"DCI is a vital part of the semiconductor business and we will continue to be a leading
force in the semiconductor industry."
