Please read these Terms and Conditions of Use carefully before using this site. By accessing and using the Sites and Materials, you acknowledge and agree to abide by the following Terms. If you do not agree to these Terms, do not use the Sites or Materials.
Scope of Terms. These Terms and Conditions of Use ("Terms") are applicable to all web sites operated by National Semiconductor Corporation and its subsidiaries ("National", "we," "us"), whether a sponsored site, managed through a third party vendor or hosted by a third party (hereafter the "Sites"). These Terms also apply to any services, resources and tools provided through National Sites, including but not limited to developer tools, download areas, community forums, blogs, sharing sites and product information. Hereafter, all the materials covered by these Terms will be referred to as the "Materials. National may provide activity or program specific Terms of Service, for example when National provides interactive or user-specific Materials, enables user generated content, offers products or services for sale, or offers a sweepstakes, contest or other promotion, or permits a user to use a third-party application, content or software. If so, to the extent that these Terms do not conflict with the activity or program specific Terms of Service, the Terms herein remain in full force and effect.
Acceptance of Terms. By using the Materials, you acknowledge you have read and agree to be bound by these Terms and to any additional rules and guidelines that we post on a Site and to comply with all applicable laws and regulations, including without limitation U.S. export and re-export control laws and regulations regarding the transmission of technical data exported from the United States or the country in which you reside. You further agree to comply with all local laws, regulations and rules regarding online conduct and acceptable Materials. You represent you have the legal authority to accept these Terms on behalf of yourself or any third party you represent. We may make changes to these Terms from time to time. We may notify you of such changes by any reasonable means, including by posting the revised version of these Terms on the Site. You can determine when we last changed these Terms by referring to the "LAST UPDATED" legend above. Your use of the Materials following changes to these Terms will constitute your acceptance of those changes; provided, however, that any material changes to these Terms shall not apply retroactively to any claim or dispute between you and us in connection with these Terms that arose prior to the "LAST UPDATED" date applicable to that version of these Terms in which we included such material change. We may, at any time, modify or discontinue all or part of the Materials, charge, modify or waive fees required to use the Materials, or offer opportunities to some or all users.
Use of the Site. The permissions granted by these Terms shall extend to officers, directors, employees, and agents authorized by you in accordance with these Terms ("Authorized Users"), subject to such Authorized Users being bound by this to the same extent as you. You shall be liable, jointly and severally, for all acts and breaches of these Terms by any Authorized User.
Proprietary Rights. The Materials include descriptions of patented technology, copyrightable subject matter, trademarks, service marks, and trade names ("Intellectual Property") which are proprietary to National or other third parties and are protected by patent, copyright, and trademark laws. You may not use the Materials or Intellectual Property except as permitted under these Terms without the prior written consent of National. Any unauthorized use or copying of any Materials or Intellectual Property may violate patent, copyright, trademark and other laws. As between you and National, National shall retain all rights, title, interests, and ownership of any kind, including but not limited to, any and all intellectual property rights of every kind whatsoever, in and to the Materials and Intellectual Property contained on or available through the Sites. Neither you nor any other user shall be deemed to obtain any rights to the Materials or Intellectual Property, and nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any patent, copyright, trademark, or trade secret of National or any third party, except as expressly set forth in these Terms.
Third Party Content. The Materials may contain user or third party submitted content and/or applications. Such content and applications are not reviewed, approved, or endorsed by National and is provided solely as a convenience to our customers and users. Under no circumstances will National be liable in any way for any third party submitted or provided content or application, including but not limited to, any errors or omissions, or damages of any kind. By your use you agree that you must evaluate and bear all risks associated with the use of any third party content or application, including any reliance on the accuracy, completeness or usefulness of such content or application.
Translations. Where National has provided you with a translation of the English language version of these Terms, you agree that the translation is provided for your convenience only and that the English language version of the Terms will govern your relationship with National. If there is any contradiction between the English language version of the Terms and the translation, the English language version shall take precedence.
User Conduct. You agree to abide by all applicable local, state, national and foreign laws, treaties and regulations applicable to use of the Sites. You shall not in any manner: (i) distribute, use or make copies of, or otherwise duplicate the Materials contained on the Sites, except as expressly authorized under these Terms; (ii) make the Sites, or any Materials contained on the Sites, available to any unauthorized third party; (ii) sell, loan, rent, lease, re-license, sublicense, transmit, distribute, re-distribute, or timeshare the Sites, or create any Internet "link" to the Sites without prior express authorization from National, or "frame" or "mirror" the materials or services contained on or accessible from the Sites on any other server or Internet-based device; (iii) cause or permit the reverse engineering, disassembly, decompilation of, or any other attempt to derive any software comprising or available through the Sites, except to the extent permitted by law; or (iv) remove, alter, amend, or otherwise tamper with any titles, trademarks, copyright, restricted rights notices, or other proprietary rights legend, or any license agreement, included or provided with the Sites. In addition, without limitation, you agree not to use the Sites: (a) to harvest, collect, gather or assemble any Materials for other than internal, noncommercial use; (b) to harvest, collect, gather or assemble information or data regarding other users, including e-mail addresses, without their consent; (c) to transmit or post any material or information which is unlawful, harassing, libelous, abusive, harassing, tortious, defamatory, threatening, harmful, abusive, libelous, invasive of another's privacy, vulgar, obscene or otherwise objectionable; (d) to transmit any material that may infringe the intellectual property rights or other rights of third parties, including any patent, trademark, copyright, trade secret, or right of publicity; (d) to transmit any material that contains software viruses or other harmful or deleterious computer code, files or programs such as trojan horses, worms, time bombs, cancelbots; (e) to interfere with or disrupt servers or networks connected to the Sites, or violate the regulations, policies or procedures of such networks; (f) to attempt to gain unauthorized access to the Sites, other accounts, computer systems or networks connected to the Sites, through password mining or any other means; or (g) to harass or interfere with another user's use and enjoyment of the Sites. Your failure to comply with these Terms (including without limitation your repeated engagement in copyright infringement through or in connection with the Sites) may result in termination of your access to the Sites.
User Accounts. National may, from time to time, host a program or activity specific site that may require you to establish a member account and/or Site password ("Your Account"). The permission to establish Your Account is personal to you and your Authorized Users, and cannot be shared with or otherwise used by any other individual or entity. You are responsible for any use of your account, and you agree to promptly notify us of any known or suspected confidentiality breach or unauthorized use of your account. You hereby represent and warrant that all information provided National in registering for Your Account is current, complete and correct, and that you will promptly update such information following any change which renders it incomplete or incorrect. We may reject, or require that you change, any user name, password or other information that you provide to us in establishing an account. National may place restrictions on the types and amounts of information stored in Your Account. You bear sole responsibility for maintaining back up copies of any information stored in Your Account. National shall have no obligation regarding the safekeeping of any information in Your Account and you hereby waive any and all claims against National for any information contained in Your Account which is lost, stolen, deleted, corrupted or otherwise rendered inaccessible or unusable. YOU HEREBY WARRANT AND REPRESENT THAT NO INFORMATION NOW OR HEREAFTER CONTAINED IN YOUR ACCOUNT SHALL COMPRISE A TRADE SECRET OR CONFIDENTIAL INFORMATION.
Privacy Policy. Your submission of information through the Sites is governed by our privacy policy, which is incorporated herein by reference and can be viewed by clicking here. You agree that all information you provide to us is true, accurate and complete, and you will maintain and update such information as necessary. If you choose to make any of your personally identifiable or other information publicly available on the Sites, you do so at your own risk. The Sites are intended for use by persons over the age of 13. National does not seek to collect information about children under the age 13. No information should be submitted to or posted to the Sites by users under 13 years of age.
Notice Specific to National Documents: Permission to use National owned white papers, press releases, datasheets, specification documents, FAQs etc ("Documents") from the Site is granted, provided that: (1) all copyright and proprietary notices as they appear in such Documents are retained, (2) use of such Documents is for informational and non-commercial or personal use only and will not be copied or posted on any network computer or broadcast in any media; and (3) no modifications of any Documents are made. Accredited educational institutions, such as K-12, universities, private/public colleges and state community colleges, may download and reproduce the Documents for distribution in the classroom provided that such institutions identify National as the source of the Documents and include the following credit line: "Courtesy of National Semiconductor". Distribution outside the classroom requires express written permission. Use for any other purpose is expressly prohibited by law, and may result in civil and criminal penalties. Documents specified above do not include the design or layout of the Sites or any other National owned, operated, licensed or controlled site. Elements of the Sites are protected by trade dress, trademark, unfair competition and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound or image from any Site may be copied or transmitted unless expressly permitted by National.

User Content Submissions: Any material, information or other communication you transmit or post to the Sites ("User Content") will be considered non-confidential and non-proprietary. National is under no obligation to post or use any User Content. National does not endorse any User Content or any opinion, recommendation or advice expressed therein and National expressly disclaims any and all liability in connection with User Content submissions.
Unless otherwise specified on the Site or activity terms and conditions, by posting, displaying, uploading, inputting, providing or submitting such User Content, you grant National, necessary sub licensees and Site users a perpetual, irrevocable and fully-sub licensable license to use worldwide, royalty-free a non-exclusive license to use, distribute, reproduce, modify, adapt, publish, translate, publicly perform and publicly display the User Content (in whole or in part) and to incorporate such User Content into other works in any format or medium now known or later developed for any and all commercial and non-commercial purposes. You acknowledge that National may or may not moderate or prescreen User Content. National and its designees retain the right, at National's sole discretion, to prescreen, refuse or remove any User Content from the Site or Materials. National however will have no liability related to the content of any such User Content, whether or not arising under the laws of copyright, libel, privacy, obscenity or otherwise. Without limiting the foregoing, National shall have the right to remove any User Content that violates these Terms.
Unsolicited Submissions. Notwithstanding anything to the contrary in these Terms, we do not accept, invite or consider unsolicited submissions of ideas, proposals or suggestions ("Unsolicited Submissions"), whether related to the Sites, our products or otherwise. We do not treat Unsolicited Submissions as confidential, and any Unsolicited Submission will become our sole property. We have no obligations with respect to Unsolicited Submissions and may use them for any purpose whatsoever without compensation to you or any other person.

Termination. These Terms are effective until terminated. You have the right to discontinue use of the Sites at any time. National may at any time and for any reason modify, restrict, suspend, or terminate your access to or use of the Materials, including your Account. National may further terminate your account if you do not first log-on within thirty (30) days after registration or ninety (90) days since your last login. Upon termination for any reason all rights granted you hereunder shall terminate and you shall immediately cease use of the Sites, and return or destroy any materials obtained through the Sites. The permissions granted herein shall automatically terminate, and all use of the Sites, and Materials by you must cease immediately, upon any breach of these Terms. National shall not be liable to you or any third party for any claim or cause of action arising out of such termination. Upon termination, we shall not be required to make any information or files available to you. We may take steps that we believe are appropriate to enforce or verify compliance with any part of these Terms (including our right to cooperate with any legal process relating to your use of the Materials or any third party claim that your use of the Materials is unlawful or infringes such third party's rights).
Assignment. You may not transfer or assign to any third party, in whole or in part, Your Account or any other rights or permissions granted under these Terms, without the prior written consent of National, which consent National may withhold in its sole discretion. Any attempted assignment in violation of this provision shall be null and void and shall automatically terminate all rights and permissions granted under these Terms.
Waiver. Neither party shall be deemed by any act, delay, or omission to have waived any of its rights or remedies hereunder unless such waiver is in writing and signed by the waiving party, and only to the extent specifically set forth in said writing. A waiver, failure or delay in exercising any right, power or privilege, or any single or partial exercise of any right, power or privilege, will not act to preclude any subsequent or further exercise of that or any other right, power or privilege.
General. Materials available on the Site are subject to United States export control laws and regulations and may also be subject to the laws of the country where you reside. Materials may not be appropriate or available for use in some jurisdictions outside of the United States. If you access the Materials, you do so at your own risk, and you are responsible for complying with all local laws, rules and regulations. We may limit the availability of the Materials, in whole or in part, at any time and in our sole discretion.
These Terms constitute the complete agreement between you and National. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA without regard to its conflicts of law provisions and each party shall submit to the personal and exclusive jurisdiction of the courts located within the State of Delaware, USA. You agree that you waive any jurisdictional, venue or inconvenient forum objections thereto. You and National hereby agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms or any dispute arising hereunder. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. In the case of any violation of these rules and regulations, National reserves the right to seek all remedies available by law and in equity for such violations. You agree that any unauthorized use of the Materials would result in irreparable injury to us for which money damages would be inadequate, and in such event we shall have the right, in addition to other remedies available at law and in equity, to immediate injunctive relief against you. Nothing contained in this section or elsewhere in these Terms shall be construed to limit remedies or relief available pursuant to statutory or other claims that we may have under separate legal authority, including, without limitation, any claim for intellectual property infringement.
These Terms do not create any partnership, joint venture, employer-employee, agency or franchisor-franchisee relationship between you and us. Notices to you may be made via posting to the Site, by e-mail or by regular mail, in our discretion. We may also provide notice of changes to these Terms or other matters by displaying such notices or by providing links to such notices. You agree that a printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. We will not be responsible for failure to fulfill any obligation due to causes beyond our control. Nothing in these Terms, express or implied, is intended to confer, nor shall anything herein confer on, any person other than the parties and the respective successors or permitted assigns of the parties, any rights, remedies, obligations or liabilities.

Any notice required or permitted to be given to National under these Terms shall be given as follows: by electronic mail to new.feedback@nsc.com, or by letter sent by first class postage prepaid mail to National Semiconductor Corporation, 2900 Semiconductor Drive, Santa Clara, California 95051, attention Webmaster. National may give notice to You by means of a general notice via the Services, electronic e-mail to Your e-mail address on record in National's account information, or by written communication sent by first class mail to Your address on record in National's account information. A change of address by either party shall only be effective if given in accordance with the provisions of this Section.
U.S. Government Restricted Rights. If the right to use the Sites is acquired under the terms of: (i) a Department of Defense contract: the Government's rights to use, modify, reproduce, release, perform, display or disclose the Sites or accompanying documentation are subject to the above-enumerated terms of these Terms pursuant to 48 CFR 252.227.7202-3; (ii) a Civilian agency contract: the Government's rights to use, modify, reproduce, release or disclose the Sites or accompanying documentation are subject to the restrictions of paragraphs (a) through (d) of the Commercial Computer Software - Restricted Rights clause at 48 CFR 52.227-19 and the restrictions set forth in these Terms.
